1. INTRODUCTORY PROVISIONS

Definitions:
Business day - one day from Monday to Friday, excluding public holidays.
Order Form - Electronic Service, an interactive form available in the domain of the helpcosmetics-b2b.com online store that allows placing an Order, in particular by adding Products to the electronic basket and defining the terms of the Sales Agreement, including the method of delivery and payment.
Customer - a Party to a sales contract concluded with the Seller, including: Consumer, entrepreneur, legal person or an organizational unit without legal personality, which the law grants legal capacity that has concluded or intends to conclude an Agreement with the Seller or who uses or intends to use the Electronic Service.
Consumer - a customer who is a natural person who performs a legal transaction with the Seller not directly related to its business or professional activity. For the purposes of these Regulations, Consumers also mean natural persons concluding a contract directly related to their business activity, when the content of this contract shows that it does not have a professional nature for that person, resulting in particular from the subject of the business activity performed by it, made available on on the basis of the provisions on the Central Register and Information on Economic Activity.
Online Store - an online store available at https://helpcosmetics.shop

Product - a movable item available in the Online Store which is the subject of the Sales Agreement between the Customer and the Seller.

Order processing time - the number of working days in which the Seller completes the Order placed by the Customer, entrusts the ordered Product to the carrier and delivers the ordered Product via the carrier to the place indicated by the Customer in the Order Form.
Pre-sale product - presented in the Online Store.Product marked in the Online Store as "pre-sale" (label on the presentation of the Product), possible to book in accordance with the Pre-sale Regulations, which has not been manufactured yet or is not available in the Online Store, the delivery of the pre-sale Product takes place at the time indicated when presenting the Pre-sale Product.
Order - Customer's declaration of will, expressing a direct will to conclude a Distance Agreement, submitted using means of distance communication, specifying the Product for which the Customer submits an offer to conclude the Agreement and the Customer's data necessary for the possible conclusion and performance of the Agreement in the scope indicated in the Order Form ( method of payment, method of delivery of the Product, place of delivery of the Product and customer data).

Regulations - these regulations of the Online Store.

Electronic Service - a service provided electronically by the Seller to the Customer via the Online Store.
Consumer Rights Act - the Act of 30 May 2014 on consumer rights (Journal of Laws of 2014, item 827, as amended).
Pre-sale - presentation by the Online Store of content constituting an invitation to submit offers by customers and referring to Products under production or whose production is planned, enabling the ordering of the product before its premiere at a special price in accordance with separate Pre-sale Regulations.
Agreement - a contract for the sale of a Product concluded in Polish between the Customer and the Seller.
Cart - a virtual tool that allows the Customer to aggregate selected Products before their purchase and convert their value. When selecting Products, the Customer may freely manage the contents of the Cart by adding or removing Products from it.
Promotion - a discount strictly defined in time on selected Products that are offered by the Seller and that may be the subject of an Agreement between the Customer and the Seller.
Proof of purchase - a fiscal receipt, VAT invoice or other proof, provided to the Customer at his request, confirming the sale of the Product.
Newsletter - a service provided electronically, which the Customer may order / subscribe to - via the Website - an electronic distribution service provided by the Seller via e-mail, which allows all Service Users using it to automatically receive cyclical electronic content from the Seller containing information about the Seller, Products , services provided by entities related to the Seller, news and promotions in the Online Store.
Account - an Electronic Service, under which the Seller allows the Customer to set up an Account marked with an individual name (login) and password, the creation of which requires the Customer to fill in the Form, as part of the Account it is possible to collect information about Orders placed through it, editing the Customer's data, granted consents marketing and insight into the history of orders.
Opinion - content added by the Customer, in response to the Seller's request to express an opinion about the Product, after purchasing the Product.

The customer using the Online Store is obliged to:
a) use Electronic Services in a manner consistent with applicable law and the provisions of these Regulations;
b) not to provide or transmit illegal content;
c) use the Electronic Services in a way that does not interfere with their functioning;
d) use any content posted in the Online Store and the Newsletter only for personal use.
The seller ensures protection of the transmitted digital content and data by using technical and organizational measures in order to protect them against their acquisition by unauthorized persons (e.g. SSL encryption, access passwords, anti-virus programs). However, the Seller indicates that the use of the Internet and the services provided electronically carries the risk of malicious software penetrating the ICT system and the Customer's device or unauthorized access to the Customer's data by third parties. In order to minimize these risks, the Customer is obliged to apply appropriate technical security measures, such as the use of up-to-date versions of the software, the use of strong and unique passwords, the use of anti-virus software.
Acceptance of the Regulations is voluntary, but necessary to conclude the Agreement.
The provisions of these Regulations are not intended to exclude or limit any rights of the Customer, who is also a Consumer, under the mandatory provisions of law. In the event of non-compliance of the provisions of the Regulations with the above provisions, the provisions of generally applicable law shall prevail.

  1. All photos of the Products and other materials (including texts, graphics, logos) posted in the Online Store, Order Form, Newsletter are the property of the Seller or have been used by the Seller with the consent of third parties who own copyrights or intellectual property rights to them. It is forbidden to copy photos and other graphic materials as well as reprint texts posted in the Online Store, Order Form, Newsletter, including their sharing on the Internet without the written consent of the Seller or other third party having rights to them.
    It is forbidden to download photos from the Online Store website, Newsletters and use them for marketing and commercial purposes. The use of the above-mentioned materials without the written consent of the Seller or another third party who is entitled to copyrights or intellectual property rights is unlawful and may constitute the basis for initiating civil and criminal proceedings against the perpetrators of this practice.
    2. ELECTRONIC SERVICES
    The services provided by the Seller electronically via the Online Store consist of:
    a) presentation of Products;
    b) enabling the conclusion of a Sales Agreement via the Order Form.

    d) Newsletter;
    e) Opinions.
    Using the account is possible after:
    a) the Customer completes the Form with the data for the Account submission,
    b) clicking the "Create an account" field;
    c) confirming the willingness to create an Account by clicking on the confirmation link sent automatically to the e-mail address provided.
    d) in the Registration Form, it is necessary for the Service Recipient to provide the following data: name and surname, address (street, house / flat number, zip code, city), e-mail address, contact telephone number and password.
    The Account service is provided free of charge for an indefinite period of time. The Service Recipient has the option, at any time and without giving any reason, to delete the Account (resignation from the Account) by sending a relevant request in writing or by e-mail to kontakt@helpcosmetics.shop or by using the delete account option available in the Account. Removal of the Customer's account does not mean withdrawal of marketing consents (sent via email or SMS / mms / by phone).
  1. The possibility of using the Newsletter is possible through:
    a) providing an e-mail address to which electronic messages will be sent - Newsletter;
    b) clicking the "Subscribe" button in the form visible on the Online Store website.
    You can also subscribe to the newsletter by selecting the appropriate checkbox when creating an Account - upon creating the Account, the Customer is subscribed to the Newsletter.
    The Newsletter service is provided free of charge for an indefinite period. The Service Recipient has the option, at any time and without giving any reason, to unsubscribe from the Newsletter (unsubscribe from the Newsletter) by:
    a) clicking on the unsubscribe link in each message sent as part of the Newsletter or
    b) an appropriate option in the Account service, or
    c) by sending a relevant request in writing or electronically to the email address kontakt@helpcosmetics.shop
    The Order Form enables the conclusion of the Agreement by adding the Product to the Cart by the Customer, filling in the data in the Order Form in accordance with § 4 of the Regulations. In the Order Form, it is necessary for the Customer to provide the following data about the Customer: name and surname / company name, address (street, house / flat number, zip code, city, country), e-mail address, contact telephone number and data regarding the Sales Agreement: Product (s), quantity of the Product (s), place and method of delivery of the Product (s), method of payment. In the case of customers who are not consumers, it is also necessary to provide the company name and tax identification number, if a VAT invoice is to be attached to the Order.
  2. The Order Form service is provided free of charge and allows the conclusion of a Sales Agreement without the need to create an Account, is of a one-off nature and ends when the Order is placed through it or when placing an Order through it is terminated earlier.
    Any complaints related to the provision of Services by electronic means by the Seller and other complaints related to the functioning of the Online Store, as well as reports regarding violations of the Regulations, the Customer may submit in electronic form via e-mail to the following address: kontakt@helpcosmetics.shop or in writing to the following address: Helpcosmetics Sp. z o.o. Zwycięstwa Avenue 241/13 81-521 Gdynia. It is recommended that the Customer provide in the description of the complaint: information and circumstances regarding the subject of the complaint, in particular the type and date of the irregularity, the Customer's request and the contact details of the person submitting the complaint (name, surname and correspondence address) - this will facilitate and accelerate the consideration of the complaint by the Seller. The requirements set out in the preceding sentence are only recommendations and do not affect the effectiveness of complaints submitted without the recommended description of the complaint.
    Complaints referred to in paragraph 8 of this paragraph, will be considered by the Seller immediately, no later than within 14 calendar days from the date of its receipt. A response to the complaint will be sent to the address provided by the person submitting the complaint. If the data or information provided in the complaint needs to be supplemented, before considering the complaint, the Seller will ask the Customer to supplement the complaint in the indicated scope.
  • 3. RULES OF USING THE ONLINE STORE
    The customer is obliged in particular to:
    a) use the Online Store in a manner consistent with the law, the Regulations, the principles of social coexistence, good manners, with respect for personal rights as well as copyrights and intellectual property of the Seller and third parties;
    b) entering data in accordance with the facts, not misleading or not infringing the rights of third parties;
    c) use the services and functionalities provided by the Seller in a manner that does not interfere with the functioning of the Seller and the Online Store;
    d) use of any content contained in the Online Store only for personal use.
    The Seller informs that it is unacceptable for the Customer to take actions that could destabilize or disrupt the operation of the Online Store or hinder access to the Online Store of the Seller or other Customers, as well as the Customer's taking actions such as placing unsolicited commercial information in the Online Store or sending it through it.
    In the event of a breach by the Customer of the law, the provisions of the Regulations or the principles of the Privacy Policy, as well as in the event of the Customer acting in a way that hinders the work of the Online Store or inconvenient for other Customers, the Seller has the right to deprive the Customer of the right to use the Online Store or limit his access to some functionalities of the Online Store.
    Promotions for selected Products may be organized in the Online Store. The Seller decides about the rules regarding the promotion, making them public on the website of the Online Store.
    Announcements, Seller's advertisements, price lists and other information about the Products, provided on the websites of the Online Store, in particular their descriptions, technical and performance parameters and prices, constitute an invitation to conclude a contract within the meaning of art. 71 of the Civil Code.
    • 4. RULES FOR CONCLUDING THE CONTRACT
      The Customer may place an Order and then conclude an Agreement by:
      a) placing an Order via the Order Form on the Online Store website;
      b) placing an Order via the Account service [partially completed Customer data] by completing the Order Form, to the extent necessary to finalize the Order.
      All Products available in the Online Store are original, brand new and in accordance with generally applicable law.
      The orders referred to in sec. 1 of this paragraph, it may be submitted 7 days a week, 24 hours a day.
      Orders placed on weekdays after hours. 4.00 p.m., on Saturdays and Sundays as well as public holidays, will be implemented on the next business day.
      In order to effectively place an Order in the manner referred to in paragraph 1 lit. a) of this paragraph, it is necessary:
      a) adding the Product to the Cart,
      b) correct completion by the Customer of the Order Form available on the Online Store website containing the data for shipping the Product,
      c) choosing the method of payment, delivery method
      d) accepting the provisions of the Regulations and the Privacy Policy and pressing the "Order and pay" button.
      6. In order to effectively place the Order referred to in para. 1 lit. b) of this paragraph, it is necessary

      a) adding the Product to the Cart,
      b) logging in to the Account,
      c) correct completion by the Customer of the Order Form available on the Online Store website,
      d) choosing the method of payment, delivery method,
      d) acceptance of the provisions of the Regulations and the Privacy Policy,
      e) and pressing the "Order and pay" button.

      When placing the Order, until the "Order and pay" button is pressed, or until the Seller confirms the completion of the Order placed by the Customer, the Customer has the option to modify the entered data and change the Product selection. For this purpose, the Customer should follow the messages displayed to the Customer and the information available on the given website of the Seller.
      After placing the Order, the Seller immediately confirms the submission of the Order by the Customer. Confirmation of placing the Order by the Seller takes place by sending the Customer an e-mail message containing confirmation of all essential elements of the Order to the address provided by the Customer. The e-mail message confirms the conclusion of the Agreement between the Seller and the Customer.
      The contract is treated as concluded when the Customer receives an e-mail confirming all the essential elements of the Sales Agreement in accordance with paragraph 8 above.
      The time of order fulfillment (completing the Order and preparing it for shipment) with delivery is from 1 to 7 business days and is calculated as follows:
      a) if the Customer chooses the method of payment on delivery - from the date of the Sale Agreement;
      b) if the Customer chooses the electronic payment method - from the date the payment is credited in full on the Seller's bank account.

      1. The Customer may make changes to the Order or cancel them until the Seller confirms that the Order has been placed.
        If the Products ordered by the Customer are not available, the Seller shall inform about it in the Online Store or inform the Customer who placed the Product Order about it. In such a situation, the Customer may agree to extend the duration of the Order or cancel the ordered Product or the entire Order.
        An indispensable element of the Order submission procedure is that the Customer reads and accepts these Regulations and the Privacy Policy, which the Customer confirms by checking the appropriate box before finalizing the Order. The lack of acceptance by the Customer of these Regulations or the Privacy Policy during the ordering procedure prevents the use of the possibility of purchasing the Product via the Online Store.
        An element of the order placement procedure is also the provision by the Customer of his personal data indicated in the Order form marked as obligatory and the Customer becoming familiar with the Information Clause on the processing of personal data available in the Privacy Policy. Providing personal data marked as obligatory is voluntary, but necessary in order to place an Order. Providing personal data that is not marked as obligatory is voluntary and is not necessary to place an Order.
      2. Information about the total value of the Order, which includes the Product price, taxes, delivery costs, is each time provided on the Order Form website when placing the Order and then in the Order submission confirmation. Before finalizing the Order, the total costs that the Customer is obliged to pay are displayed together with the applicable taxes and the cost of delivering the Product.
        During the ordering procedure - until you press the "Order and pay" button, the Customer has the option to modify the Order in the Cart, in particular with regard to the selection of the Product, the area and method of delivery of the Product, the method of payment, and the data provided in the Order Form.
        An order is placed by pressing the "Order and pay" button by the Customer. The order placed after clicking Order now entails the obligation to pay.
        The customer who has chosen to pay in advance when placing the order should pay the price and delivery costs of the Product within 7 days of receiving an e-mail from the Seller confirming receipt of the order and acceptance of the order for execution. If the Customer fails to make the payment within 7 days from the date of confirmation of the Order, the Seller will request the Customer to make the payment. If the entire payment is not made within the time limit specified in the request, the Seller has the right to cancel the Order, informing the Customer via e-mail, to the Customer's e-mail address or by phone.
        The Customer who, when placing the Order, chose payment on delivery of the ordered Product (cash on delivery), is obliged to make the payment on delivery of the shipment containing the ordered Product. The ownership of the subject of the Order becomes the property of the Customer upon payment.
        The Seller's provision of Electronic Services is free of charge.
      1. The prices of the Products presented on the website of the Order Form are expressed in Euro and are gross prices, i.e. they include taxes, including tax on Products and Services (VAT).
        The prices of the Products listed in the Online Store do not include the costs of delivering the Product. The costs of delivering the ordered Product are each time provided in the Order Form when placing the Order, including immediately before and at the time of approval and submission of the Order by the Customer, and are included in the total value of the Order. The total value of the Order includes the price of the Product and the costs of its delivery. The Customer is informed about the total amount of the Order, including the delivery costs, each time before placing the Order and in the e-mail confirming the submission of the Order.
        Information about the Product price, features and essential properties of the Product are available in the description of the Products in the Online Store and are provided next to the presented Product.
        The prices of the Products listed on the website of the Order Form are valid only when placing Orders via the Order Form and may include promotional offers or additional discounts updated after entering the discount code.
      2. If the Customer wants to receive a VAT invoice, he is obliged to indicate the tax identification number in the Order Form. If the customer requests a VAT invoice, it will be sent to the e-mail address provided by him.

       

      1. 6. METHODS OF PAYMENT FOR THE ORDERED PRODUCT AND THE DELIVERY FEE
        Possible current payment methods are specified in the Online Store in the "Payment methods" tab and each time on the subpage of a given Product, including when the Customer expresses the will to be bound by the Sales Agreement. The available payment methods may depend on the method of delivery or the Product selected by the Customer.
        The seller provides the following payment methods:
        Cash on delivery upon delivery.
        Payment by traditional transfer to the Seller's bank account.

        Electronic payments and card payments via Stripe - possible current payment methods are specified on the Online Store website in the "Payment, delivery" tab and on the stripe website.
        Settlements of transactions with electronic payments and credit cards are carried out in accordance with the Customer's choice via stripe.
